Terms of Service
These Terms of Service (“Terms”) govern your use of PropSign(“Service”). By creating an account or using the Service, you agree to these Terms.
1. Service Description
PropSign is a digital document-signing and workflow platform built for South African real estate agencies and individual agents. The Service supports the creation, routing, signing, and management of property-related document flows.
PropSign is not a law firm, does not replace legal advice, and does not promise identity verification beyond the signing workflow actually implemented in the live product.
2. Accounts, Trials, and Subscriptions
Access to the Service requires an active trial or subscription. Subscription fees are charged in South African Rand (ZAR) through Paystack.
- All standard plans currently start with a 14-day free trial.
- Subscriptions renew automatically on a monthly or annual basis unless cancelled before renewal.
- You can cancel at any time before renewal. Cancellation takes effect at the end of the current billing period, and unused time is not refunded on a pro-rata basis.
3. Payment, Overdue Accounts, and Grace Handling
Paystack provides the hosted checkout and recurring billing infrastructure currently used by the Service.
- If a scheduled payment fails, PropSign may place the account into a grace period while billing details are updated or payment is settled.
- The current customer-facing policy is a 30-day grace period before access restrictions apply.
- Missing a payment does not automatically create a long-term archive of signed records inside PropSign. Export the records you need to keep.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
- Use the Service to process personal information without a lawful basis or required POPIA notice.
- Attempt to reverse-engineer, copy, or resell any part of the Service.
- Upload malicious files or attempt to compromise the platform.
- Share your account credentials with persons outside your registered agency.
5. Data Retention and Export
Signed records handled through the current PropSign signing workflow remain available in the platform for up to 72 hours after signing. Agencies should export any records they must retain in their own approved archive.
Agency configuration, account data, and subscription records may be retained for the duration of the active subscription and any additional period reasonably required for billing, support, security, or legal compliance.
If your agency needs a longer archive, export the relevant records before the active PropSign retention window ends and store them in your own approved archive.
6. POPIA Responsibilities
Your agency remains the Responsible Party for the personal information it collects through its own property workflows. PropSign acts as an Operator when processing personal information on your instructions through the platform.
The Service is designed to support POPIA-aware workflows, but your agency remains responsible for deciding what information to collect, what lawful basis applies, and where records must be stored outside the active platform window.
7. Intellectual Property
The PropSign software, design, and service materials remain the property of PropSign. Your agency branding, documents, and client data remain your property, subject to the rights needed to operate the Service.
8. Limitation of Liability
To the maximum extent permitted by South African law, PropSign is not liable for indirect, incidental, or consequential damages arising from your use of the Service. Our aggregate liability to you shall not exceed the subscription fees paid by you in the 12 months preceding the claim.
9. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will publish the updated Terms and, where appropriate, notify account holders by email or through the Service.
10. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
